Terms of Service

Effective: May 10, 2026

These Terms govern your access to and use of Floo AI (the 'Service') operated by VLMS Global ('Floo', 'we', 'us'). By accessing the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account and access

You must be at least 18 years old and authorized to bind your organization to use the Service.

You are responsible for safeguarding your account credentials and for any activity under your account.

We may suspend or terminate access for violations of these Terms, applicable law, or non-payment.

2. Acceptable use

You will not use Floo to make unsolicited calls in violation of TCPA, DNC, or any local equivalent. You are responsible for verifying consent before contacting any individual.

You will not use Floo to commit fraud, impersonate any person, harass, threaten, defame, or distribute illegal content.

You will not bypass usage limits, reverse-engineer the Service, or interfere with its operation.

You are solely responsible for the content of calls, knowledge bases, and prompts you create on Floo.

3. Customer content

You retain ownership of all content you upload, generate, or process through the Service ('Customer Content').

You grant Floo a limited, non-exclusive license to host, process, and display Customer Content solely to operate the Service.

Floo does not use Customer Content to train shared AI models without your explicit, separate consent.

4. Subscription, billing, and refunds

Plans are billed monthly or annually via Stripe. Usage above plan limits is billed at the published overage rate or paused at your cap, depending on your settings.

All fees are non-refundable except where required by law. You can cancel at any time; cancellation takes effect at the end of the current billing period.

We may change pricing with 30 days' notice for paid plans, applied at your next renewal.

5. Third-party services

The Service integrates with third-party providers (LLMs, STT, TTS, telephony, CRMs). Their terms apply on top of these Terms when you use them.

Floo is not responsible for outages, errors, or data handling by third-party providers, but we will use commercially reasonable efforts to operate around them.

6. Compliance and legal use

You are responsible for ensuring your use of the Service complies with all applicable laws including TCPA, DNC, GDPR, CCPA, HIPAA where relevant, and any sector-specific regulations.

Floo provides tools to help you stay compliant (DNC scrubbing, consent capture, redaction, audit logs) but cannot guarantee outcomes.

On request, we will sign a Business Associate Agreement (BAA) with HIPAA-eligible customers on Enterprise plans.

7. Service availability

We target 99.9% uptime on paid plans and 99.99% on Enterprise plans with a corresponding SLA.

Scheduled maintenance is announced in advance. Unscheduled outages are communicated on status.floo.ai.

8. Warranty disclaimer

The Service is provided 'as is' and 'as available'. We disclaim all warranties not expressly granted, including merchantability, fitness for a particular purpose, and non-infringement.

AI outputs may be inaccurate. You are responsible for reviewing outputs before relying on them for any consequential decision.

9. Limitation of liability

To the maximum extent permitted by law, Floo's aggregate liability for any claim arising out of these Terms or the Service is limited to the fees paid by you in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility.

10. Indemnification

You agree to defend, indemnify, and hold Floo harmless from any claim arising out of (a) your Customer Content, (b) your violation of these Terms, or (c) your violation of applicable law in operating Floo.

11. Termination

Either party may terminate for material breach with 30 days' notice if the breach is uncured.

On termination, you can export your data within 30 days; after that, customer-controlled data is permanently deleted unless retention is required by law.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which VLMS Global is incorporated, without regard to conflict-of-laws principles.

Disputes will be resolved in the courts of that jurisdiction unless both parties agree to arbitration.

13. Changes to these Terms

We may update these Terms. Material changes are emailed or surfaced in the dashboard at least 30 days before they take effect for paying customers.

Continued use after the effective date constitutes acceptance of the updated Terms.
